(“the Club”)

NOTICE OF RESOLUTION TO ALTER THE RULES OF THE CLUB

Pursuant to Rule 16 of the Club’s Rules (“the Rules”)

The following Resolution altering the Rules of the Club will be put to the General Meeting of the Club to be held in the Club’s premises on Queen Street, Hastings at 5.30 pm on the 26th day of October 2010:-

1.   Rule 15 is hereby deleted and substituted with the following Rule:-

“15, On application in writing made to the Committee by 20 Ordinary, Country or Life Members who were members on the 31st day of October 2010, signifying their desire that the Club should be dissolved, a special General Meeting should be called to consider the question at which meeting the votes of at least two thirds of the Ordinary, Country and Life Members on the books of the Club on the 31st day of October 2010 shall be necessary to carry the proposition for dissolution, and upon such Resolution being carried, the assets of the Club shall be sold on the open market and once all costs, debts and liabilities of the Club have been ascertained and paid, all surplus assets of the Club shall be distributed among the Ordinary, Country and Life Members on the books of the Club on the 31st day of October 2010”.

2.    Rule 16 of the Rules deleted and the following Rule substituted therefore:-

“16 (a)   Subject to Rule 16(c), these Rules may be altered, added to, rescinded or otherwise amended by a Resolution passed by the majority of those present at a General Meeting called under Rule 10(b) or the Annual Meeting (Rule 10)(a)(i) of which appropriate notice has been given;

(b)   The Notice of the meeting shall set forth the purpose of the proposed alteration, addition, rescinded or other amendment;

(c)   Notwithstanding Rule 16(a), Rule 15 may only be altered, added to or rescinded or otherwise amended by a unanimous Resolution of the Ordinary, Country and Life Members of the Club, who are on the books of the Club on the 31st day of October 2010”.
