The Rules
of the
Taradale Cricket Club

1.   NAME

The name of the Club shall be “The Taradale Cricket Club” (hereinafter through these rules referred to as “The Club”).

2.   OBJECTS

The objects of the Club shall be:

(a)   To foster, play and advance the game of Cricket within the Taradale District.

(b)   Invest, lend and deal with the moneys of the Club not immediately required for carrying on its business upon such securities and in such manner as may from time to time be determined upon.

(c)   To provide means and rules for properly controlling the game, regulating the conduct of players, and generally managing, controlling and carrying on the said game and to punish or discipline offenders.

(d)   To affiliate and abide by the rules of the Napier Cricket Sub-Association. (Hereinafter called “The Governing Body”.)

3.   CONSTITUTION

The Club shall consist of financial members of The Taradale Cricket Club.

4.   ANNUAL GENERAL MEETING|

(a)   The Annual General Meeting shall be held at least seven (7) days before the Annual General Meeting of the Governing Body and shall elect such delegate or delegates as hereinafter provided to represent the Club at the Annual General Meeting and all other General Meetings of the Governing Body.

(b)   At the Annual General Meeting and at all other general meetings of the Club, ten (10) persons shall constitute a quorum.

(c)   No business shall be transacted at any general meeting of the Club unless the requisite quorum shall be present within thirty (30) minutes of the time appointed for the commencement of the meeting.

(d)   The President of the Club shall be entitled to take the chair at any general meeting of the Club.

(e)   Voting
Every question submitted to a general meeting of the Club shall be decided in the first instance on the voices or by a show of hands and in the case of an equality of votes the chairman shall both in a show of hands and at a poll have a casting vote in addition to his deliberative vote, a declaration by the chairman For the time being that a resolution has been carried or lost and a confirmed entry to

that effect in the minute book of the Club shall be conclusive evidence of the fact.

(f)   No unfinancial member of any cricket club shall be entitled to vote.

(g)   Officers
There shall be elected at each Annual General Meeting of the Club, a Patron, a President, Vice Presidents, a Secretary, Treasurer, Club Captain and a Custodian or Custodians.

(h)   Executive Committee
The Executive Committee shall comprise of Secretary, Treasurer and Club Captain ex officio.

(i)   Management Committee
The Management Committee shall comprise of the Executive Committee plus Custodian, delegates to the Governing Body and Four (4) others.

The Management Committee shall hold office until the next Annual General Meeting when

they shall retire from office, but shall be eligible for re-election. Seven (7) members of the Committee shall be a quorum.

Any vacancy occuring in the office of Secretary or Treasurer, or on the Management Committee shall be filled by the Committee.

The Management Committee shall have power to elect such sub-committees as it may deem necessary from time to time to assist in carrying out its duties.

Any member of the Management Committee absenting himself from three (3) consecutive meetings of the Committee without the leave of absence of such Management Committee shall be deemed to have vacated his office.

(j)   Life Members

At an Annual General Meeting of the Club, a life member or life members of the Club may, on the nomination of the Management

Committee be elected, such election to be on account of some special or outstanding service or services rendered to the Club. A life member shall be entitled to attend and vote at all general meetings of the Club and shall have such other privileges as may be decided upon from time to time by the Management Committee.

(k)   Selectors
The Management Committee shall appoint each year, such selector or selectors as it thinks fit.

(l)   Auditor
At the Annual General Meeting in each year an auditor shall be appointed to audit the accounts of the Club and to certify the Annual Balance Sheet. The Management Committee shall, in the event of the auditor being unable to act, appoint another in his stead.

5.   ACCOUNTS, MINUTES, ETC.

Minutes of all resolutions and proceedings of the Club and the Management Committee respectively shall be entered in books to be provided for that purpose.

Correct accounts and books shall be kept showing the financial affairs of the Club and the particulars usually shown in books of accounts of a like nature. Such accounts and books shall at all times be open to inspection of the Auditor of the Club.

6.   FINANCE

The financial year of the Club shall end on the thirtieth (30th) day of June each year. The Management Committee shall cause to be prepared an Income and Expenditure Account and Balance Sheet for the financial year which be submitted to the Club at the Annual General Meeting.

The funds of the Club shall be paid into a Bank to be appointed by the Annual General Meeting to the

credit of the Club. The Treasurer or Secretary-Treasurer and any one financial member of the Club nominated by the Annual General Meeting shall be authorised to operate on the account on behalf of the Club. All accounts shall, before being paid, be submitted to the Management Committee for approval.

All accounts must be paid by cheque.

The funds of the Club not immediately required for carrying out the objects of the Club may be invested in, or upon fixed deposit in any bank or deposit company carrying on business in New Zealand.

7.   MISCONDUCT

The Management Committee shall have power to reprimand, suspend, accept the resignation of, or expel any Club member who shall infringe any rules of the Club or whose actions shall, in their opinion, be detrimental to the interests of the game of Cricket. No financial member shall be suspended or expelled without first being summoned

through the Secretary, before a meeting of the Management Committee to explain such action, nor unless the resolution for such suspension or expulsion shall be passed by a majority of two-thirds of the votes cast thereon.

Every member of the Club shall be bound by every act of the Management Committee.

8.   CLUB COLOURS

The colours of the Club shall be maroon with a gold monogram.

9.   DUTIES OF SECRETARY

The duties of the Secretary shall be:

(a)   To convene all meetings of the Club and of the Management Committee, perform the whole of the clerical work of the Club, and carry out all directions given to the Secretary by the Club or Management Committee.

(b)   To keep all records, documents of title, licences and minute books of the Club.

(c)   To keep a record of the names and addresses of all office bearers and Club members.

(d)   To keep such further books and registers as the Club or Management Committee may, from time to time, determine.

10.   DUTIES OF TREASURER

The duties of the Treasurer shall be:

(a)   To receive all moneys for and on behalf of the Club and to pay the same into such Bank or Banks as the Management Committee may from time to time determine to the credit of the Club.

(b)   To prepare all accounts or advances after same have been passed for payment by the Management Committee.

(c)   To prepare the Annual Income and Expenditure Account and Balance Sheet, and submit same to the Management Committee.

11  DUTIES OF CLUB CAPTAIN

The duties of the Club Captain shall be:

(a)   To arrange and control all club practices.

(b)   To make welcome and introduce all new members.

(c)   To notify team captains of their selected teams.

(d)   To keep a record of the names and addresses of all Club members.

(e)   To carry out all directions given by the Management Committee.

12.   DUTIES OF CUSTODIAN

The duties of the Custodian shall be:

(a)   To ensure that all cricket gear shall be kept in good order and condition.

(b)   To issue all gear to be used.

(c)   To purchase cricket gear as directed by the Management Committee.

13.   ELECTION OF TEAM CAPTAINS

Team Captains to be elected by secret ballot on a day nominated by the Management Committee.

14.   ABSENCE OR ILLNESS OF OFFICERS

Should the Secretary or Treasurer be absent, or ill, or otherwise temporarily incapacitated, the Management Committee shall have power to appoint any member of the Club to act in his stead.

15.   RULES OF THE GAME

The Club shall be deemed to have subscribed to and shall be bound by the rules of the Governing Body.

16.   INTERPRETATION AND ALTERATION OF RULES

If any case occurs which, in the opinion of the Management Committee is not provided for in these rules, it shall be determined by the

Committee in such manner as is deemed expedient.

Any difference of opinion arising as to the meaning of any of these rules shall be decided by the Management Committee. Any such decision shall be recorded in the minutes and shall be accepted as a true meaning of the rules.

The rules may be added to, repealed, or amended by a resolution passed at any General Meeting provided that notice of such proposed amendments, additions, or deletions, together with the name of the proposer shall be given to the Secretary of the Club who shall give notice thereof to the members at least fourteen (14) days before the date of the General Meeting when such proposal shall be considered.

17.   WINDING UP

The Club may be wound up voluntarily if a General Meeting of the Club passes a resolution requiring the Club to be wound up and the resolution is confirmed at a subsequent

General Meeting called together for that purpose and held not earlier than thirty (30) days after the date on which the resolution, so as to be confirmed, was passed.

In the event of the Club being wound up, the balance remaining after all charges and expenses, including the expenses of winding up, have been paid, shall be disposed of in such a manner as a special General Meeting called for the purpose shall decide.

18.   NOTICES

Notices required to be given under these rules shall be deemed to have been properly and adequately given if sent through the ordinary course of the post, addressed to the members entitled to receive the same at their usual or last known place of business or residence. All notices calling meetings shall state the business to be considered at such meetings.

19.   MEMBERS NOT TO DERIVE PECUNIARY GAIN

No member, except as an officer in receipt of an honorarium, shall derive any pecuniary gain from the property or operation of the Club. “Pecuniary gain” does not, however, include the winning of trophies, other than cash, and does not include prize money where such prize money is handed or paid to the Club.

20.   DISPOSITION OF FUNDS

The income and property of the Club from whatever source derived, shall be applied solely towards the promotion of the objects of the Club, and no portion of the funds shall be paid or transferred directly or indirectly by way of dividend, bonus or otherwise to members of the Club except by way of honoraria.
